These Terms govern your access to and use of NeoMind, a software service provided by Neomeric Pty Ltd (ACN [OWNER INPUT REQUIRED: Australian Company Number (ACN)], ABN [OWNER INPUT REQUIRED: Australian Business Number (ABN)]) of Australia (“Neomeric”, “we”, “us”). By creating an account or otherwise accessing the Service you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you warrant that you have authority to bind that organisation.
1. The Service
NeoMind provides AI teammates for small businesses and a dashboard for managing them: a knowledge-grounded website and messaging agent (“Simon”), a voice agent (“Maeve”), a staff and HR assistant (“Hugo”), and, where your plan includes it, a Marketing Team of a marketing manager (“Theo”), a social media producer (“Sana”) and a website content producer (“Wren”). We may introduce, modify, or discontinue features from time to time on reasonable notice.
2. Accounts
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must notify us promptly at support@neomeric.com if you suspect unauthorised use.
3. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. In summary, you must not use NeoMind to send unlawful, infringing, deceptive, or harmful content, to attempt to extract proprietary model weights, or to circumvent rate limits, refusal handling, or other safety controls.
4. Your compliance responsibilities
You are responsible for ensuring that your use of NeoMind complies with all laws and regulations that apply to you and to your end users. This includes, without limitation: telecommunications and call-handling rules; call-recording and monitoring-consent requirements; laws requiring you to disclose that a person is interacting with an automated or AI system; privacy and data-protection laws; and consumer-protection laws — in every jurisdiction in which you operate or in which your customers, callers or other end users are located. You are responsible for obtaining any consents and giving any notices those laws require. NeoMind provides features to help (for example, AI-identification responses and per-jurisdiction disclosure settings), but you remain solely responsible for determining your obligations and meeting them.
5. Your content and our access to it
You retain ownership of the data, documents, prompts and other materials you submit to the Service (“Your Content”). You grant us a non-exclusive, worldwide licence to host, process and transmit Your Content solely as needed to provide the Service to you.
We do not train foundation models on Your Content. Where Your Content is used to ground a tenant-scoped agent, that grounding is confined to your tenant.
5A. AI teammates acting on your behalf
NeoMind’s AI teammates (including Theo, Sana and Wren) prepare and carry out marketing work for your business. This includes social media posts, replies to comments, reviews and messages, website articles and page updates, emails, and changes to settings in your Google Analytics, Tag Manager and Business Profile accounts.
By default none of this marketing work is published, sent or changed until you, as the account owner, approve it in NeoMind. AI teammates that answer your customers’ chats and messages reply in real time, within the settings you choose. If you switch on automatic publishing for a channel, you authorise the AI teammate to publish on that channel without a separate approval for each item, within the settings you choose, until you switch it off.
Everything published, sent or changed through the Service is done as your business, under your accounts. You are responsible for it as if you had done it yourself, including compliance with advertising, consumer, privacy and spam laws and with each platform’s own terms. AI-generated content can contain mistakes, so review it before you approve it.
We may decline to publish, or pause publishing, if we reasonably believe content would breach these Terms, our Acceptable Use Policy or a platform’s terms, or if a connected account shows signs of being compromised. Platforms such as Meta and Google make their own decisions about accounts and content. We are not responsible for those decisions except to the extent our breach of these Terms caused them.
5B. Connected accounts
When you connect an account (for example Facebook and Instagram through Meta, Google services, or a WordPress site), you authorise us to access it only to provide the features you have switched on. You can disconnect any account at any time under Settings → Integrations, or revoke our access in the platform’s own settings.
Disconnecting an account immediately deletes the credential we stored for it and, for Facebook and Instagram, the copy of direct messages stored with that connection. You can also ask us to delete what we hold for a connected account by emailing privacy@neomeric.com. Our Privacy Policy explains what we hold for each platform and how deletion works.
5C. Help calls from Aria
Help calls are optional. Aria is NeoMind’s AI assistant and will always say so. A help session can take place in the app or, if you have given us your consent, by phone. We are under no obligation to call you, and you are under no obligation to take a call.
You can withdraw your consent at any time in Settings → Profile, by asking Aria to stop, or by emailing privacy@neomeric.com. Calls are for help and feedback, not sales, unless you ask. See our Privacy Policy for how calls are transcribed and kept.
6. Fees and billing
Paid plans are billed monthly in advance unless otherwise agreed. Pricing is published at neomindhub.com/au/pricing and may be revised with at least thirty (30) days’ notice. All fees are exclusive of GST unless stated.
Refunds, where applicable, are governed by our Refund Policy.
7. Free trial
7.1 The free week. All three AI employees are active while you set up, and for seven (7) days from the day your chat first goes live on your website. If your chat is not live within thirty (30) days of starting your trial, the seven days begin then. No payment card is required and nothing is charged during the trial. In this section, the day the seven days begin is the day your trial period begins.
7.2 Voice testing during the trial. Trial accounts may place up to thirty (30) minutes of Maeve browser test calls. Each test session is debited from that allowance in three (3) minute blocks at the moment the session starts, whether or not the full block is used. Test minutes are never billed and never count towards any plan allowance; they are recorded in your account as test sessions. Once the allowance is exhausted, further test calls are declined until a plan starts.
7.3 Extending to fourteen days. With a card on file the trial runs to a full fourteen (14) days from the day your trial period begins. You may add a payment card while you set up, or while fewer than fourteen (14) days have passed since your trial period began; doing so requires you to choose a plan at that time. Adding a card does not itself result in a charge.
7.4 What happens at the end of day fourteen. At the end of that fourteenth day your chosen plan starts and your card is charged, at the price disclosed to you when you chose it. Where the timing allows, we email a reminder three (3) days and again one (1) day before that charge; if you add a card inside those windows, the corresponding reminder will not be sent.
7.5 Cancelling. You may cancel at any time before the charge from the Billing settings page in your dashboard, at no cost and with nothing owing.
7.6 After the fourteen-day window. If you choose a plan more than fourteen (14) days after your trial period began, that plan starts and is charged immediately.
7.7 Trial and beta features. Trial usage, and features marked “beta” or “preview”, are provided on an as-is basis and may be withdrawn at any time. Service-level commitments do not apply to trial or beta usage.
7.8 Promotional trial offers. From time to time we may offer promotional trial periods (for example through a partner platform or an offer code entered at signup) that extend the durations in 7.1 and 7.3, or the Maeve test-call allowance in 7.2, for accounts that redeem the offer. The stated promotional duration then replaces the fourteen (14) day period wherever this section refers to it, including the automatic plan start in 7.4 and the cancellation right in 7.5, which apply unchanged at the end of the promotional period. A payment card and an explicit plan selection are still required, dedicated phone and WhatsApp numbers remain available only once a paid plan starts, and promotional offers may be limited in number, withdrawn from new redemptions at any time, and are not redeemable for cash. An offer already applied to your account is honoured for its stated duration.
8. Intellectual property
Subject to your rights in Your Content, all intellectual property rights in and to the Service remain with Neomeric or its licensors. Feedback you provide may be used by us without restriction.
9. Suspension and termination
We may suspend or terminate your account if you materially breach these Terms, fail to pay fees when due, or place the Service or other users at risk. You may terminate by cancelling your subscription in the dashboard at any time; cancellation takes effect at the end of your current billing period.
10. Disclaimers
The Service is provided “as is”. To the maximum extent permitted by law, we exclude all implied warranties.
11. Liability
To the maximum extent permitted by law, our aggregate liability to you in any twelve-month period will not exceed the fees you have paid us during that period. We exclude liability for indirect, consequential and special losses.
12. Indemnity
You agree to indemnify Neomeric against third-party claims arising from Your Content or your breach of these Terms, subject to our prompt notification of any such claim and your reasonable control of the defence.
13. Privacy
Our handling of personal information is governed by our Privacy Policy. Where you process personal information about your end users through the Service, the Data Processing Addendum applies.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to the account owner at least fourteen (14) days before they take effect; continued use of the Service after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
